1. BACKGROUND & BRAND AUTHORITY
FRANCHISEE AGREEMENT
For Pincode -
This Franchisee Agreement (“Agreement”) is executed on this 23 day of February 2026
BETWEEN
Deafa International Private Limited,
a company incorporated under the Companies Act, 2013, having its registered office at Office No. 108/109/110, 1st Floor, Vardhman City 2 Plaza, Asaf Ali Road, New Delhi 110002.,
hereinafter referred to as “Franchisor”,
(which expression shall, unless repugnant to the context, include its successors and permitted assigns)
AND
, residing at , , - ,
hereinafter referred to as “Franchisee” or “Second Party”,
(which expression shall include his heirs, legal representatives, and permitted assigns)
The Franchisor and Franchisee are hereinafter collectively referred to as the “Parties”.
1. BACKGROUND & BRAND AUTHORITY
1.1 The Franchisor is the owner and operator of “UmrahCenter”, a premium pilgrimage services brand of Deafa International Pvt. Ltd., a proud subsidiary of the RAHAT GROUP.
1.2 The Franchisor is a Government Approved Hajj Group Organizer (HGO) recognized by the Ministry of Minority Affairs, Government of India.
1.3 The Franchisor is backed by Journey to Makkah LLP, holding 4,000+ confirmed seats per season, providing strong inventory and operational credibility.
2. GRANT OF FRANCHISE & EXCLUSIVITY
2.1 The Franchisor hereby appoints the Franchisee as an exclusive UmrahCenter Franchisee for the approved PIN CODE / territory.
2.2 The Franchisee shall be the sole authorized UmrahCenter partner within the allotted pincode.
2.3 The Franchise granted is:
- Non-transferable
- Non-sub-licensable
- Subject to strict compliance with this Agreement
3. TERM OF AGREEMENT
3.1 This Agreement shall be valid for a period of Five (5) Years, commencing from the date of execution.
3.2 The Agreement is renewable subject to satisfactory performance and compliance with Franchisor policies.
4. FRANCHISE FEES, REGISTRATION CHARGES & WORKING CAPITAL
4.1 Joining & Registration Charges
The Franchisee shall pay a one-time non-refundable Joining & Registration Charge of INR 55,786/- (Rupees Fifty-Five Thousand Seven Hundred Eighty-Six Only) inclusive of GST/Taxes as applicable.
4.2 Working Capital Requirement
The Franchisee shall maintain a minimum INR 1,00,000 (One Lakh Rupees) as liquid working capital in the Franchisor-approved wallet/account.
4.3 The working capital shall be used only for booking and operational purposes and shall not be treated as a franchise fee.
5. ELIGIBILITY & INFRASTRUCTURE REQUIREMENTS
The Franchisee shall maintain:
- Minimum 100 sq. ft. dedicated office space
- Official Bank Account with QR Code
- Valid Passport & Aadhaar Card
- PAN Card (Individual / Firm)
- Rent Agreement or Ownership Proof
Failure to maintain infrastructure may lead to suspension or termination.
6. LOYALTY & EXCLUSIVITY CLAUSE
6.1 The Franchisee shall not associate with any other Umrah, Hajj, or pilgrimage agency during the term of this Agreement.
6.2 Only UmrahCenter branding is permitted:
- No third-party posters, banners, or branding
- Only Franchisor-approved creatives allowed
6.3 Violation of this clause shall result in immediate termination.
7. PAYMENT FLOW & FINANCIAL DISCIPLINE
7.1 100% of customer payments must be transferred directly to Deafa International Pvt. Ltd. bank accounts.
7.2 STRICTLY NO CASH COLLECTION OR CASH DEPOSIT is permitted.
7.3 Any violation of payment flow rules shall attract immediate termination and forfeiture of deposits.
8. COMMISSION & PAYOUT TERMS
8.1 The Franchisee shall earn Trade Agent Commission (TAC) on eligible Umrah packages.
8.2 Commission rates may vary based on:
- Package type
- Seasonal offers
- Special incentives announced by the Franchisor
8.3 Payout Schedule
- Commission payout on 10th of every month
- Commission released after guest return
- TDS applicable as per Government of India norms
9. SERVICES PROVIDED BY FRANCHISOR
The Franchisor shall manage complete backend operations including:
- Flight allocations & PNRs
- Visa processing
- Hotel contracting
- Catering & kitchen services
- Advance inventory procurement
- Technology & mobile applications
The Franchisee shall focus solely on sales, customer handling, and relationship management.
10. TECHNOLOGY & TRAINING
10.1 The Franchisee shall receive:
- Partner Mobile App access
- User App access for pilgrims
- IT systems & booking platforms
10.2 Mandatory training shall be conducted by the Regional Manager prior to Go-Live.
11. COMPLIANCE, VIGILANCE & ZERO TOLERANCE
11.1 Mandatory Video Verification may be conducted at any time.
11.2 Zero Tolerance Policy applies for:
- Lead diversion
- Misrepresentation
- Unauthorized tie-ups
- Cash handling
- Brand misuse
11.3 Any violation shall result in:
- Immediate termination
- Forfeiture of deposits
- Legal action if required
12. TERMINATION
12.1 This Agreement may be terminated immediately by the Franchisor for:
- Breach of exclusivity
- Financial misconduct
- Brand violation
- Non-compliance with SOPs
12.2 Upon termination, the Franchisee shall:
- Stop using UmrahCenter branding
- Return all proprietary material
- Clear all dues
13. CONFIDENTIALITY & INTELLECTUAL PROPERTY
13.1 All trademarks, systems, pricing, and processes belong solely to the Franchisor.
13.2 The Franchisee shall not disclose confidential information during or after termination.
14. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of India.
Jurisdiction shall be courts of Mumbai, Maharashtra.
15. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions or representations.
ANNEXURE – A: TERRITORY & EXCLUSIVITY
1.1 Allotted Territory: State: City: PIN Code(s):
2.1 Exclusivity: The Franchisor shall not appoint any other UmrahCenter franchise within the allotted PIN Code(s).
3.1 Modification: Any territory modification requires written approval.
4.1 No Cross-Marketing: The Franchisee shall not operate in other partners' territories.
ANNEXURE – B: COMMISSION (TAC) SLAB
1.1 TAC Eligibility: Earn commission on confirmed Umrah packages after guest return.

ANNEXURE – C: CRIMINAL LIABILITY
1.1 Sacred Trust: Pilgrims are “Guests of Allah”. Misrepresentation is a high moral and legal offense.
2.1 Cheating (Sec 420 IPC): Selling inferior/unauthorized packages constitutes cheating.
3.1 Breach of Trust (Sec 406 IPC): Misuse of funds is criminal breach of trust.
ANNEXURE – D: COMPLAINT SOP
4.1 Immediate Action: Serious complaints lead to instant suspension pending investigation.
6.3 Findings: Malafide intent results in termination and legal action.
ANNEXURE – E: FIR & LEGAL PROCEEDINGS
1.1 Right to FIR: Franchisor can lodge FIR for fraud without prior notice.
5.1 Cooperation: Franchisee must cooperate with Police investigations.
